Development of your offering documentation and Federal Form D filing is an important and primary part of our service. We work with our clients to develop a Form 1A spec Private Placement Memorandum and Subscription Agreement. We also assist the client in creating the SEC's Form D notification filing and provide instructions on the filing process. Part of this instruction includes creating an EDGAR account with the SEC (the Form D is filed via the EDGAR website) and obtaining a CIK number.
Clients are responsible for providing the needed corporate information and data that will be used in the PPM document. The client will rough in the corporate data into one of our specific PPM templates to create a working draft. The working draft is then used by our staff for further content development, review, and risk disclosure modification. We typically complete 4-6 review and modification sessions on the PPM document to ensure proper development. We help facilitate clients through the document drafting phase using the following:
- All PPM document files are example documents with imbedded tips and guidance
- All areas that need customization are clearly marked in red type
- The PPM Prep Section guides clients line-by-line through each page of the PPM showing exactly how to customize the document. These instructions are specific to each type of document and transaction type
- Any questions the client has as they customize the document can be answered by our support staff via telephone or e-mail
- We review the PPM document to ensure our clients have completed it properly
The Form D SEC notification filing is used in conjunction with a Regulation D Offering. We provide specific "plain english" completion instructions for the filing, how to file, and when to file updates. We also review the Form D to ensure the filing is accurate. The Form D is a notification filing and is not reviewed or approved by a regulator. It merely provides the SEC with basic information on the company and the offering.
