(1) Our standard offering preparation and execution support service includes offering structuring guidance, development of a Presentation Grade PPM, SEC and State filing support, on-going compliance support, and access to our broker-dealer community.

(2) RDR Investor Portal Website build fee and compliance management application. The portal website and compliance application includes front-end portal website build and back-end compliance management application providing regulated registration for PPM document access, investor accounts with secure document delivery, investor verification management, and offering management and administrative applications. Monthly Access Fee billed separately.

(a) $7,000 processed immediately to engage offering preparation services and provide portal build deposit;

(b) offering preparation balance of $3,000 due and payable 30 days net from retaining services or upon delivery of a final PPM document whichever comes first and;

(c) portal website balance of $1,500 due (i) immediately upon RDR and Client deeming the Portal development final and prior to RDR upload of website files to the server for launch of the Portal or; (ii) 60 days net from engaging RDR for Portal Development Services whichever comes first.

• Expert guidance provided on critical items such as offering structure, applicable SEC regulations, and terms of securities sold
• Direct in-house EDGAR submission of Form 1-A Offering Statement and Exhibits to the SEC
• Handling of any SEC comments and final submission of Offering Statement and Exhibits for final SEC Qualification
• Assistance, coordination and recommendations for related vendors such as transfer agents and broker dealers
• Comprehensive compliance support as the offering is executed and sold
• Optional on-going reporting forms filing services (for Tier 2 Issuers – Form 1-U, Form 1-K and Form 1-SA filing services)*
